1. About CentreFlow

CentreFlow is a cloud-based management platform for tuition and learning centres. We provide tools for student management, attendance, payments, compliance, communications, and reporting. Access is provided on a subscription basis.

2. Eligibility

You must be at least 18 years old and acting on behalf of a registered business or educational organisation to subscribe. By creating an account, you confirm that you have authority to bind your organisation to these terms.

3. Subscription and Billing

CentreFlow is offered on a monthly subscription basis. Our current pricing starts at £19 per month for the Starter plan, billed monthly. Pricing may change with 30 days' notice to existing subscribers.

• Subscriptions are billed in advance on a monthly basis
• Payment is due on the subscription renewal date each month
• Failure to pay may result in suspension of access
• We do not offer refunds for partial months unless required by law

4. Account Responsibilities

You are responsible for:

• Maintaining the security and confidentiality of your login credentials
• All activity that occurs under your account
• Ensuring that staff users you create comply with these terms
• Keeping your billing and contact information accurate and up to date
• Notifying us immediately of any suspected unauthorised access

5. Permitted Use

CentreFlow is licensed for use by tuition centres to manage their operational activities. You may not:

• Resell, sublicense, or share access to the platform with unaffiliated parties
• Use the platform to store or process data unrelated to your tuition centre operations
• Attempt to reverse engineer, copy, or reproduce any part of the platform
• Use automated tools to scrape or extract data without our written permission

6. Data and Privacy

You, as the tuition centre, are the data controller for student, parent, and staff data entered into CentreFlow. CentreFlow acts as a data processor on your behalf. You must ensure you have a lawful basis for processing personal data and have appropriate privacy notices in place for your students and parents.

Our Data Processing Agreement forms part of these terms.

7. Availability

We aim to maintain high availability of the CentreFlow platform and target 99.5% uptime, excluding scheduled maintenance. However, we do not guarantee uninterrupted availability and are not liable for temporary outages, maintenance windows, or events outside our reasonable control.

8. Intellectual Property

All software, designs, trademarks, and content forming part of the CentreFlow platform remain the intellectual property of CentreFlow. You are granted a limited, non-exclusive, non-transferable licence to use the platform in accordance with these terms.

9. Suspension and Termination

We reserve the right to suspend or terminate your access to CentreFlow without notice if you:

• Breach these terms or our Acceptable Use Policy
• Fail to pay a subscription amount within 14 days of the due date
• Use the platform in a way that poses a security or legal risk

10. Limitation of Liability

To the fullest extent permitted by law, CentreFlow's liability to you in connection with these terms or the platform is limited to the total subscription fees paid by you in the three months prior to the event giving rise to the claim.

We are not liable for any indirect, incidental, or consequential losses, including loss of data, loss of profits, or damage to reputation, except where such liability cannot be excluded by law.

11. Changes to Terms

We may update these terms from time to time. Where changes are material, we will notify account holders by email at least 14 days in advance. Continued use of CentreFlow after the effective date constitutes acceptance.

12. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
